Terms of Service
Effective Date: April 9, 2026
These Terms of Service ("Terms") govern your access to and use of the websites, applications, platform, and services (collectively, the "Services") provided by DiligenceSquared Inc., a Delaware corporation ("DiligenceSquared," "we," "us," or "our"). By accessing or using the Services, you ("you" or "User") agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
If you have entered into a separate written agreement with DiligenceSquared, such as a Master Services Agreement or Scope of Work (each, a "Client Agreement"), and there is any conflict between these Terms and such Client Agreement, the Client Agreement will govern to the extent of the conflict.
We reserve the right to modify these Terms at any time. Updated Terms will be posted at www.diligencesquared.com/terms-of-service with a revised effective date. Your continued use of the Services following any such modification constitutes your acceptance of the revised Terms.
Section 1: Services
DiligenceSquared provides AI-powered commercial due diligence and research services, including expert interviews, transcript generation, insight synthesis, and interactive research reports delivered through a proprietary web-based SaaS platform (the "Platform"). The specific Services available to you depend on the scope of your engagement with DiligenceSquared, whether under a Client Agreement or a trial, demonstration, or evaluation access arrangement.
Section 2: Eligibility and Account Registration
Eligibility
The Services are intended for business use by professionals who are at least 18 years of age. By using the Services, you represent that you meet these requirements and have authority to bind your organization to these Terms.
Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify DiligenceSquared at contact@diligencesquared.com of any unauthorized access to or use of your account. DiligenceSquared is not liable for any loss arising from unauthorized use of your account.
Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.
Section 3: License Grant and Restrictions
Limited License
Subject to these Terms and any applicable Client Agreement, DiligenceSquared grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes during the term of your engagement.
Restrictions
You shall not, and shall not permit any third party to:
Copy, modify, create derivative works of, reverse engineer, decompile, or disassemble the Platform or any underlying software, algorithms, models, or tools;
Sublicense, resell, redistribute, transfer, or make the Services or any content available to any third party, except as expressly permitted under a Client Agreement;
Use the Services to develop a competing product or service, or for benchmarking purposes;
Use any data mining, robots, scraping, or similar automated data gathering methods on the Services;
Remove or alter any proprietary notices, labels, or marks on the Services or any content;
Use the Services or any content with any third-party artificial intelligence or machine learning tool, large language model, or API without prior written consent of DiligenceSquared;
Use the Services in any manner that violates applicable law, regulation, or these Terms; or
Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services.
Section 4: Intellectual Property
DiligenceSquared Property
All right, title, and interest in and to the Platform, including all software, algorithms, models, frameworks, tools, methodologies, interfaces, dashboards, templates, designs, and documentation (collectively, "DiligenceSquared Property"), are and shall remain the exclusive property of DiligenceSquared. Except for the limited license granted in Section 3, no rights in or to the DiligenceSquared Property are granted to you.
User Content
You retain ownership of any data, information, or materials that you provide to DiligenceSquared through the Services ("User Content"). You grant DiligenceSquared a worldwide, non-exclusive, royalty-free license to use, process, store, and display User Content solely as necessary to provide the Services to you.
Feedback
If you provide any suggestions, ideas, or feedback regarding the Services ("Feedback"), you grant DiligenceSquared a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Services without any obligation to you.
Section 5: Confidentiality
You acknowledge that the Services and any deliverables, reports, transcripts, insights, or other materials provided through the Services may contain confidential and proprietary information of DiligenceSquared and/or its clients. You agree to maintain the confidentiality of such information and not to disclose it to any third party except as expressly permitted under a Client Agreement or with prior written consent of DiligenceSquared. This obligation survives termination of these Terms.
Section 6: Privacy
Your use of the Services is subject to the DiligenceSquared Privacy Policy, available at www.diligencesquared.com/privacy-policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read, understood, and agree to the collection, use, and processing of your personal data as described in the Privacy Policy.
Section 7: AI-Generated Content and Disclaimers
Nature of AI-Generated Content
You acknowledge that the Services utilize artificial intelligence and machine learning technologies, including AI-powered voice agents, natural language processing, and automated synthesis tools. Content generated or processed using AI ("AI Content") may contain inaccuracies, errors, omissions, or incomplete information. AI Content is provided for informational purposes only and should be independently verified before reliance.
No Professional Advice
DiligenceSquared does not provide legal, accounting, tax, investment, or financial advice, fairness opinions, or valuations. The Services and all deliverables are intended as informational research tools to support your own decision-making. You are solely responsible for all decisions and actions taken based on the Services or any outputs obtained therefrom.
Expert Interview Disclaimer
Expert interviews conducted as part of the Services reflect the personal views and experiences of the individual experts. The views expressed by experts do not represent the views of DiligenceSquared, the expert's current or former employers, or any other party. DiligenceSquared does not guarantee the accuracy, completeness, or reliability of information provided by experts.
Section 8: Warranty Disclaimer
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, DILIGENCESQUARED DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, TITLE, AND NON-INFRINGEMENT. DILIGENCESQUARED DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE, OR THAT ANY SPECIFIC RESULTS WILL BE OBTAINED FROM USE OF THE SERVICES.
Section 9: Limitation of Liability
Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DILIGENCESQUARED OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
Cap on Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DILIGENCESQUARED'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO DILIGENCESQUARED IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION APPLIES TO USERS WITH TRIAL, DEMONSTRATION, OR EVALUATION ACCESS WHO HAVE NOT PAID FEES.
Exceptions
Nothing in these Terms limits or excludes liability for (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any matter for which it would be unlawful to exclude or limit liability.
Section 10: Indemnification
You agree to indemnify, defend, and hold harmless DiligenceSquared and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (i) your use of the Services in violation of these Terms; (ii) your breach of any representation or warranty herein; (iii) any third-party claim arising from your use of or reliance on the Services or deliverables; or (iv) your violation of any applicable law or regulation.
Section 11: Term and Termination
Term
These Terms are effective upon your first access to or use of the Services and continue until terminated. If you have a Client Agreement, the term of your access to the Platform is governed by such agreement.
Termination by DiligenceSquared
DiligenceSquared may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. DiligenceSquared may immediately suspend access if it reasonably believes you have violated these Terms.
Termination by You
You may stop using the Services at any time. To close your account, contact us at contact@diligencesquared.com.
Effect of Termination
Upon termination, your right to access and use the Services will immediately cease. Sections 4 (Intellectual Property), 5 (Confidentiality), 7 (AI-Generated Content and Disclaimers), 8 (Warranty Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and 13 (General Provisions) shall survive termination.
Section 12: Governing Law and Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Jurisdiction
Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
Waiver of Jury Trial
EACH PARTY HEREBY IRREVOCABLY WAIVES ITS RIGHT TO TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS.
Section 13: General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any applicable Client Agreement, constitute the entire agreement between you and DiligenceSquared with respect to the subject matter hereof and supersede all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
Amendments
DiligenceSquared reserves the right to modify these Terms at any time. Updated Terms will be posted at www.diligencesquared.com/terms-of-service with a revised effective date. Your continued use of the Services following any such modification constitutes your acceptance of the revised Terms. For material changes, DiligenceSquared will use reasonable efforts to provide notice, such as a banner on the Platform or an email to your registered address.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
The failure of DiligenceSquared to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or any rights hereunder without the prior written consent of DiligenceSquared. DiligenceSquared may assign these Terms without restriction in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.
Independent Contractors
The relationship between you and DiligenceSquared is that of independent parties. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
No Third-Party Beneficiaries
These Terms are for the sole benefit of the parties hereto and do not confer any rights on any third party.

All notices under these Terms shall be in writing and delivered to DiligenceSquared at:
